Welcome to PayNow® Payment Service Ltd. ("PayNow", "we", or "the Platform"). Please read these Terms of Service carefully. By registering for, signing in to, or otherwise using the Platform, you confirm that you have read, understood, and agreed to all of these terms.
1. Scope of Services
PayNow provides cross-border collection, local payment method support, transaction management, settlement reconciliation, merchant management, and reporting for merchants across India, Indonesia, Africa, Southeast Asia, and other regions. The actual capabilities available to you are those exposed by the Platform from time to time.
2. Account and Security
You are responsible for safeguarding your account credentials, passwords, API keys, and any second-factor authentication artifacts (such as Google Authenticator credentials). Any consequences arising from the disclosure, unauthorized use, or inadequate protection of these credentials are borne by you. If you suspect any compromise, notify us immediately through the contact channels published on the Platform.
3. Compliance and Anti-Money-Laundering
You agree to comply with all applicable laws and regulations in the jurisdictions in which you operate, including but not limited to anti-money-laundering (AML), know-your-customer (KYC), counter-terrorist-financing (CTF), foreign-exchange (FX) controls, and sanctions compliance. PayNow may, in accordance with regulatory requirements or instructions from partner financial institutions or card networks, query, suspend, or terminate any transaction suspected of non-compliance.
4. Prohibited Use
You shall not use the Platform for any illegal or unauthorized purpose, including but not limited to: selling goods or services prohibited in your jurisdiction, money laundering, terrorist financing, fraud, cashing out, collecting or paying on behalf of unauthorized third parties, or violating any applicable export-control or sanctions rules. PayNow may immediately suspend or terminate accounts involved in any such activity.
5. Intellectual Property
All content on the Platform — including trademarks, logos, software, interface designs, documentation, and APIs — is owned by PayNow or its licensors. You may not copy, modify, reverse engineer, redistribute, or commercially exploit any of it without our prior written permission.
6. Fees and Settlement
The fees, billing model, and settlement cycle applicable to each service are those published on the Platform or agreed in a separate written agreement between you and PayNow. PayNow may adjust service fees in response to business, regulatory, or partner-channel changes, and will notify you via in-platform notice or email before such adjustments take effect.
7. Changes and Termination
PayNow may modify, suspend, or terminate any part of the services within the scope permitted by law, with reasonable prior notice delivered via in-platform notice, email, or other prominent means. If you do not agree to any such change, you may stop using the affected services.
8. Limitation of Liability
To the maximum extent permitted by applicable law, PayNow is not liable for any loss arising from causes beyond its reasonable control, including force majeure events, partner financial institution or card network outages, network or telecommunications failures, war, civil unrest, or regulatory actions. In any event, PayNow's aggregate liability will not exceed the fees you actually paid for the specific service giving rise to the claim during the twelve (12) months preceding the event.
9. Governing Law and Dispute Resolution
These terms are governed by the laws of Singapore, without regard to its conflict-of-laws rules. Any dispute arising out of or in connection with these terms shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with its rules in force at the time. The seat of arbitration shall be Singapore, and the language of arbitration shall be English.
